These Website Terms and Conditions of Use ( the “Terms”) govern your access to, and use of the website located at https://atrium82.com (the “Site”) owned and operated by New Body Project, Inc. d/b/a Atrium82™ (“Atrium82,” “we,” “us,” or “our”), including any content, functionality and services offered on or through the Site. The words “user,” “you,” and “your” in these Terms refer to any user of the Site. Please read these Terms carefully before you use the Site.
BY ACCESSING OR USING THIS SITE IN ANY WAY, YOU ACCEPT WITHOUT LIMITATION OR QUALIFICATION, THESE TERMS, WHICH FORM A LEGALLY BINDING AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OR ACCESS THIS SITE.
The Site is made available to you solely for informational, noncommercial use. The Site provides informational quotes for venue rental services. While quotes may be provided through the Site, no binding contract for venue rental or related services is formed unless and until a separate written rental agreement is executed by both parties. This Site is offered and available to users who are 18 years of age or older and who reside in the United States. If you do not meet all of these requirements, you must not access or use the Site, and you should immediately close all of your access to this Site.

We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion with or without notice. We will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Site, or the entire Site. You are responsible for making all arrangements necessary for you to have access to the Site and ensuring that all persons who access the Site through your internet connection are aware of these Terms and comply with them.

Prohibited Uses
You may use the Site only for lawful purposes and in accordance with these Terms. We reserve the right to terminate your access to and use of the Site for violating any of the prohibited uses.
Intellectual Property Rights
The Site and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video, audio, and other works; and the design, selection and arrangement thereof), are exclusively owned by Atrium82, or by its licensors or other providers of such material. All such content, features and functionality are protected by applicable United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws, and Atrium82 reserves all rights with respect to such intellectual property.
You must not reproduce, distribute, modify, create derivative works of, display, mirror, frame, scrape, extract, publicly perform, republish, download, store, decompile or disassemble or transmit any aspect of the Site or of the contents, features, or other material on our Site, except as follows: (i) your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; (ii) you may temporarily store files that are automatically cached by your web browser for display enhancement purposes; and (iii) you may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication or distribution.
You must not: (i) modify copies of any materials from this site; (ii) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text; or (iii) delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site. If you print, copy, modify, download or otherwise use or provide any person with access to any part of the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Site, or any content on the Site is transferred to you, and all rights not expressly granted are reserved by Atrium82. Any use of the Site not expressly permitted by these Terms is a breach and may violate copyright, trademark and other laws.
We have the right, at any time, to claim the authorship of any content posted on the Site and to object to any use, distortion or other modification of such content.
The name, logos, image, appearance, and style, along with all related names, logos, designs and slogans, are registered and/or common law trademarks, trade dress, and service marks of Atrium82 or its affiliates or licensors. Other trademarks, service marks, graphics, and logos used in connection with the Site may be the trademarks of other third parties. Your use of the Site grants you no right or license to reproduce or otherwise use any of Atrium82’s trademarks. You shall not use such marks without the prior written permission of Atrium82. You shall not use any keywords, metatags, meta-elements, hidden text or other equivalents using such marks, or any other colorable equivalent.
We vigorously enforce our intellectual property rights to the fullest extent permitted by law. Accordingly, we will prosecute any unauthorized use or reproduction of our intellectual property, any of the content, databases used to store the content and any other information contained therein that violate the protection afforded by the United States and international copyright law and trademark law, or other state, federal, and international laws and regulations, including laws pertaining to contracts, and privacy and publicity.
If you believe that your intellectual property rights have been violated in any manner by the Site, please provide written notice of the same to: hello@atrium82.com.
If notified of an allegation that the Site contains infringing information, materials or other content, we may investigate the allegation and determine in our sole discretion whether to remove or request the removal of such material from the Site.
Monitoring and Enforcement; Termination
We have the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site; and terminate or suspend your access to all or part of the Site for any or no reason, including, without limitation, any violation of these Terms.
Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting or accessing any materials on or through the Site. TO THE EXTENT PERMITTED BY LAW, YOU WAIVE AND HOLD HARMLESS ATRIUM82, ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES, EXCEPT WHERE SUCH ACTIONS CONSTITUTE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
We do not undertake to review all material before it is posted on the Site and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any third-party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Indemnification
You agree to defend, indemnify, and hold harmless Atrium82 and its affiliates, licensors and service providers, and its and their respective directors, officers, members, managers, employees, contractors, agents, suppliers, licensors, attorneys, successors and assigns from and against any claims, liabilities, losses, damages, judgments, awards, costs, expenses or fees (including reasonable attorneys’ fees, including the costs of enforcing this indemnity) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any product or service you agree to purchase, any websites you access from the Site, any transactions, financial or otherwise, in any way related to or facilitated by the Site, any use of the Site’s content, services and products other than as expressly authorized in these Terms, and your use of any information obtained from the Site.
Governing Law and Jurisdiction; Dispute Resolution
The formation, interpretation, and performance of these Terms, all matters relating to the Site, its contents, and any disputes or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction). Any legal suit, action or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the Federal or state courts located in the State of New York, and you hereby consent to the exclusive jurisdiction and venue of such courts. You agree that such forum and venue are a convenient forum, and consent to the exercise of jurisdiction over you by such courts and venue in such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to these Terms. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Vendor Relationships and Liability. Atrium82 may provide information about preferred vendors for the convenience of users. Any vendors listed have independent terms, conditions, and contractual agreements that are separate from and not affiliated with Atrium82. Atrium82 assumes no responsibility or liability for any disputes, damages, or issues arising between users and any vendor. Users are responsible for resolving any conflicts directly with vendors. Users who enter into rental agreements agree that Atrium82 will not be involved in any disputes between the user, their agents or guests and any vendor. Such disputes shall not be referenced in any reviews or public commentary about Atrium82 or its venue.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; PROVIDED, HOWEVER, THAT THIS LIMITATION PERIOD SHALL NOT APPLY TO THE EXTENT IT WOULD BE SHORTER THAN THE APPLICABLE STATUTE OF LIMITATIONS UNDER NEW YORK LAW. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED TO THE EXTENT PERMITTED BY LAW.
Disclaimer of Warranties, Obligations, and Representations
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet, or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.
WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT OR ON ANY SITE LINKED TO IT.

ATRIUM82 SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER ATRIUM82 NOR ANYONE ASSOCIATED WITH US REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
Limitations on Liability
IN NO EVENT WILL ATRIUM82, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, MEMBERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL OR EQUITABLE THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED OR PURCHASED THROUGH THE SITE OR SUCH OTHER WEBSITES LINKED FROM THE SITE, INCLUDING ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE; PROVIDED, HOWEVER, THAT NOTHING IN THESE TERMS SHALL LIMIT LIABILITY FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE CAUSED BY ATRIUM82'S NEGLIGENCE OR WILLFUL MISCONDUCT, OR FOR FRAUD OR FRAUDULENT MISREPRESENTATION, TO THE EXTENT SUCH LIMITATIONS ARE PROHIBITED BY NEW YORK LAW.
NOTWITHSTANDING THE FOREGOING, IN THE EVENT THAT WE ARE FOUND LIABLE FOR ANY LOSS, DAMAGE OR CAUSE OF ACTION (WHETHER CONTRACTUAL, EXTRA-CONTRACTUAL OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH (I) THE SITE POLICIES OR ANY OF THE FEATURES OR FUNCTIONALITIES OF THE SITE OR ITS CONTENT, OR YOUR USE OR INABILITY TO USE THEREOF, OUR LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00); OR (II) ANY PRODUCT OR SERVICES SOLD THROUGH THE SITE, OUR LIABILITY SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY YOU FOR THAT PRODUCT OR SERVICE; PROVIDED THAT THESE LIMITATIONS SHALL NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE NEW YORK LAW, INCLUDING LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, PERSONAL INJURY, DEATH, OR GROSS NEGLIGENCE.
CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
Modifications
We reserve the right to amend, remove, revise or update all or part of these Terms, at any time in our sole discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided. However, we are not obligated to inform you of any changes as they occur.Any amendments or updates to these Terms shall be effective immediately upon publication. Your continued access to or use of the Site after such changes have been made constitutes your consent and formal acceptance to those changes.
Waiver and Severability
No waiver by Atrium82 or any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Atrium82 to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
All rights and restrictions contained in these Terms may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render these Terms illegal, invalid or unenforceable. If any provision or portion of any provision of these Terms shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that such provision shall be eliminated or limited to the minimum extent such that the remaining provisions or portions the Terms shall continue in full force and effect.
Additional Terms
By accessing and using the Site, you hereby accept and otherwise agree to adhere to the terms of our Privacy Policy. Such policy is hereby incorporated by reference into these Terms.
The Terms constitute the sole and entire agreement between you and Atrium82 with respect to the Site, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site.
You agree that any notices Atrium82 may be required by the applicable law to send to you will be effective upon Atrium82 sending an e-mail message to the e-mail address you have on file with Atrium82 or publishing such notices on the informational page(s) of the Site.
You agree that no joint venture, partnership, employment, franchise, or agency relationship exists between you and Atrium82 as a result of the Terms or your use of the Site, and nothing in these Terms shall be construed to create any such relationship. A printed version of the Terms and of any notice related to it shall be admissible in judicial or administrative proceedings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form, in accordance with applicable rules of evidence.
You acknowledge and agree that any and all misappropriation or misuse of the content or any other information contained on the Site may cause irreparable harm to us. Consequently, in the event that you, directly or indirectly, misappropriate or misuse the content or any other information contained on the Site, we reserve the right to seek injunctive relief against you in addition to any other legal or financial remedies to which we may be entitled, subject to applicable law and judicial determination. You further agree to reimburse Atrium82 for all reasonable attorneys' fees and costs incurred in enforcing these Terms.

Notices shall be deemed received upon actual receipt or three (3) business days after mailing, whichever occurs first.
By accessing and using the Site you hereby acknowledge and agree that you have read and accept the foregoing Terms, and voluntarily agree to be bound thereby as an express condition to your continued use of the Site. THESE TERMS CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND ATRIUM82 REGARDING YOUR USE OF THE SITE AND SUPERSEDE ALL PRIOR AGREEMENTS AND UNDERSTANDINGS, WHETHER WRITTEN OR ORAL. IF ANY PROVISION OF THESE TERMS IS FOUND TO BE INVALID, ILLEGAL, OR UNENFORCEABLE, THE REMAINING PROVISIONS SHALL REMAIN IN FULL FORCE AND EFFECT, AND THE INVALID PROVISION SHALL BE MODIFIED TO THE MINIMUM EXTENT NECESSARY TO MAKE IT VALID AND ENFORCEABLE.
